Corporate Associate, M&A

Run deal execution on mid-market M&A transactions, from diligence through signing, for a private equity-focused corporate group.

What you'll do

• Lead due diligence workstreams and manage junior associates on transactions
• Draft and negotiate purchase agreements, disclosure schedules and ancillary documents
• Coordinate with tax, antitrust and employment specialists across a deal team
• Advise sponsor clients directly on deal structuring and risk allocation
• Support business development including pitch material for existing sponsor relationships

What we're looking for

• 5-7 years of M&A experience at a law firm with a private equity client base
• Admitted to practice in New York
• Track record running workstreams independently on $50M-$500M transactions
• Strong drafting and negotiation skills under deadline pressure
